personaX Terms of Service

The Thai version is the legally binding and controlling version.

1. Introduction

These Terms of Service ("Terms") govern your use of the personaX mobile application and related services (the "Service"), operated by TENSOR ART HK LIMITED, a company incorporated in Hong Kong SAR with registered office at RM 1903, 19/F LEE GARDEN ONE, 33 HYSAN AVENUE, CAUSEWAY BAY, HONG KONG ("personaX", "we", "us").

personaX lets you create AI-assisted original characters ("OCs"), generate images and videos, and interact with other users in a community through posts, comments, reactions, follows, friends, and private messages.

By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using it, you confirm you meet this requirement and have full legal capacity to enter into these Terms. We may verify your age at any time. If we have reason to believe you are under 18, we may suspend or terminate your Account and delete your content without notice.

3. Your Account

You are responsible for the accuracy of your registration information, keeping your credentials confidential, and all activity under your Account. You may not share, sell, or transfer your Account. One Account per person, unless we agree otherwise in writing. Notify us immediately at personax@echo.tech of any unauthorized use.

4. License and Acceptable Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes. You agree not to:

  • reverse-engineer, copy, or create derivative works of the Service;
  • use bots, scrapers, or automated tools to access the Service;
  • use the Service or its content to train any AI or machine-learning model;
  • interfere with the Service's operation or circumvent its security or moderation measures;
  • resell, sublicense, or commercially exploit any part of the Service.

Detailed rules on acceptable content and behavior are set out in our Community Guidelines, which form part of these Terms.

5. Prohibited Content

You must not create, upload, share, or send any content that:

  • violates Thai law, including Section 112 of the Thai Criminal Code (lèse-majesté), the Computer Crime Act B.E. 2550 (2007), or laws on gambling, narcotics, human trafficking, or religious defamation;
  • sexualizes or endangers minors, or constitutes child sexual abuse material;
  • contains pornographic or sexually explicit material (not permitted even between adults);
  • depicts gore, extreme violence, bestiality, or sexual violence;
  • promotes terrorism, violent extremism, self-harm, or suicide;
  • contains hate speech, harassment, or threats against any person or group;
  • infringes the intellectual property, privacy, or publicity rights of others, including use of real persons' names or likenesses without consent;
  • is spam, malware, or otherwise unlawful or deceptive.

6. Your Content

6.1 Ownership. You retain all ownership rights in the content you create, upload, or generate through the Service ("User Content"), including your OCs, AI-generated outputs elicited by your prompts, posts, comments, and messages. We do not claim ownership.

6.2 License to us. You grant us a worldwide, non-exclusive, royalty-free, sublicensable (only to our service providers as needed) license to host, store, display, and distribute your User Content solely to operate, provide, and promote the Service. For private messages, the license is limited to what is necessary to deliver, store, and moderate them. You may opt out of promotional use of your public content at any time via in-App settings or personax@echo.tech.

6.3 What we will NOT do. We will not use your User Content to train AI models, sell it to third parties, or use it for any purpose outside the operation and promotion of the Service.

6.4 Your warranties. You confirm you have the rights needed to submit your User Content and that it does not infringe any third-party rights or violate these Terms.

6.5 AI output disclaimer. AI-generated outputs may be inaccurate, biased, or offensive. They are not professional advice (medical, legal, financial, etc.) and should not be relied on as such. You are responsible for how you use them.

7. Community Interactions: Follows, Friends, and Messages

7.1 Follows and Friends. The Service allows you to follow other users (one-way) and to establish mutual friendships (two-way, requires both parties' acceptance). You may unfollow, unfriend, block, or mute other users at any time through in-App settings.

7.2 Private Messages. The Service allows users to send private messages ("Messages") to other users. By default, any user may initiate a Message or message request with any other user, subject to daily limits we set and adjust from time to time to prevent abuse and spam.

7.3 Message Handling. You acknowledge and agree that:

  • Messages are NOT end-to-end encrypted. They are transmitted and stored on our servers and could, in principle, be accessed by us or our service providers;
  • we do NOT proactively review or moderate Messages. Messages are reviewed only when a recipient or other user reports them, or where we are legally compelled to do so;
  • Messages are retained indefinitely while your Account exists, unless you delete them, block the other party, or terminate your Account (see Section 10);
  • all rules in Section 5 (Prohibited Content) and our Community Guidelines apply equally to Messages;
  • you should not share sensitive personal data (such as national ID numbers, bank details, or passwords) in Messages, and we are not responsible for any loss resulting from your choice to do so.

7.4 Recipient Protections. You may block any user, report Messages for review, and restrict who can send you message requests through in-App settings. We may adjust messaging limits, request-box behavior, and anti-spam measures without prior notice to protect users.

8. Moderation and Enforcement

We use a combination of automated and human moderation for public content (such as posts, comments, and profiles). We do not pre-review all content and may not catch every violation. Private Messages are not proactively moderated (see Section 7.3). Users may report violations through the in-App reporting feature.

We may, at our discretion, remove content, warn users, restrict features, or suspend or terminate Accounts for violations of these Terms or applicable law. We aim to respond to general inquiries within 7 business days, Account appeals within 14 business days, and PDPA-related requests within 30 days.

9. Aura (Virtual Currency)

Aura is an in-App virtual item used to access certain features. Aura is not legal tender, not a cryptocurrency, and has no monetary value outside the Service. Aura cannot be exchanged for cash or transferred between users. Once acquired, Aura is non-refundable except where required by law, and unused Aura is forfeited on Account termination. Payment functionality is not currently available; when launched, supplementary payment terms will apply.

10. Suspension and Termination

You may delete your Account at any time. We may suspend or terminate your Account for breach of these Terms, suspected illegal or harmful activity, or as required by law. On termination:

  • your access to the Service ends immediately;
  • your public User Content (posts, comments, OCs) is removed from public display;
  • your Messages are removed from your own view; copies held by other users in their inboxes may persist in the ordinary course of use;
  • Account data is retained for up to 90 days for appeals, then deleted or anonymized, except where retention is required by law (e.g., tax records for 5 years);
  • unused Aura is forfeited;
  • clauses that should survive (license, prohibited content, IP, disclaimers, liability, governing law) continue to apply.

Appeal any termination within 14 days to personax@echo.tech.

11. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or that AI outputs will be accurate.

To the maximum extent permitted by law, we are not liable for indirect, incidental, consequential, or punitive damages. Our total liability to you is capped at the greater of: (i) the amount you paid us in the 12 months before the claim, or (ii) US$100. Nothing in these Terms limits liability that cannot be limited under Thai consumer protection law.

12. Privacy and Data Protection

We process your personal data under the Thai Personal Data Protection Act B.E. 2562 (PDPA) and our Privacy Policy. The Service uses third-party AI providers and cloud services located outside Thailand; your data may be transferred cross-border under appropriate safeguards, as described in the Privacy Policy. 13. General Terms

Changes. We may update these Terms. Material changes will be notified by email and in-App push at least 14 days before taking effect. Continued use after the effective date means acceptance.

Governing law and jurisdiction. These Terms are governed by the laws of the Kingdom of Thailand. Disputes shall first be attempted to be resolved through good-faith negotiation for 30 days. Unresolved disputes shall be submitted to the exclusive jurisdiction of the competent courts in Bangkok, Thailand. Nothing in these Terms limits consumer rights you may have under Thai law.

Language. These Terms are available in Thai and English. In case of inconsistency, the Thai version prevails.

Indemnification. You agree to indemnify us against claims arising from your use of the Service, your User Content, or your breach of these Terms or applicable law.

Miscellaneous. If any provision is found unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them without notice. We are not liable for delays caused by events beyond our reasonable control (force majeure).
